Extending term length

The Wikimedia NYC board has discussed an amendment to the bylaws to extend the term length for board members to 2 years to improve continuity. We're mostly copying the wording from the WMF bylaws.

ARTICLE III - BOARD OF DIRECTORS Section 2. Election and Term would be updated as follows:

The directors will be elected at the annual meeting of the members by a plurality vote of the membership, and each director will hold office until the next annual meeting and the earliest of the election or appointment and qualification of such director’s successor or such director’s death, resignation, or removal. At the expiration of any term, any director may be reelected.

The directors will be elected at the annual meeting of the members by a plurality vote of the membership. Except as herein provided, the term of office for a director shall be two years and the director terms shall be distributed so that, as nearly as practicable, the terms of a roughly equal number of directors shall expire each year, allowing the Corporation to benefit from having continuity of experienced directors. Each director will serve until the expiration of their term and until their successor has been appointed and qualified, or until their earlier resignation, removal from office, or death.

We approved this bylaws change at the beginning of the w:Wikipedia:Meetup/NYC/Election 2023 meeting on Sep 20, with four board members present, and all supporting it. Pharos (talk) 20:43, 21 September 2023 (UTC)
