Resolution of the Board of Directors of the Wikimedians of Iowa User Group, No. B-01
- WHEREAS, the Bylaws of the Wikimedians of Iowa User Group (“the User Group”) were approved on August 6, 2016;
- WHEREAS, under the Bylaws, the Board of Directors is responsible for determining several important matters of policy and procedure (including, but not limited to, Board structure, annual dues of members, and meeting times), as well as for appointment of officers and overall management;
- WHEREAS, the Board has not yet resolved those matters; it is hereby
- RESOLVED that the Board hereby appoints officers as follows:
- President: Kevin Li (User:L235);
- Secretary: Kevin Li (User:L235);
- Treasurer: Zebediah Figura (User:ObsequiousNewt);
- and it is further
- RESOLVED that it is the intent of the Board to appoint two additional directors and to set the structure of the Board of Trustees as consisting of five trustees, three elected by the membership and two appointed by the Board, pursuant to Section 10 of the Bylaws; and it is further
- RESOLVED that, after exercising all necessary due diligence and care, the President is delegated and authorized to take any action he deems reasonable to further the mission of the User Group, and is explicitly authorized to obligate the funds of the Group, to enter into agreements reflecting those obligations, to apply for and dispose of grants, and to further delegate this authority as deemed appropriate; and it is further
- RESOLVED that the User Group Agreement dated August 5, 2016, and the Trademark Permission Agreement dated August 10, 2016, are hereby ratified; and it is further
- RESOLVED that Kevin Li (User:L235) and Zebediah Figura (User:ObsequiousNewt) shall continue as the official contacts of the Group to the Wikimedia Foundation.
