Wikimedia Nigeria Foundation board summary 2020

Actions Taken:

1. The Annual General Meeting scheduled for the 15th September 2020 in the last board meeting was postponed to 14th November 2020 due to the ongoing COVID-19 Pandemic. It was unanimously agreed that the meeting should be virtual in total compliance with the Wikimedia Foundation's directives in response to COVID-19.
2. The board agreed that continuous absence by a member from meetings without notices is inimical to the Board and such a member may be ejected from the Board. The board unanimously approved a motion to eject any member who fails to attend the board meetings or participate in the board proceedings/activities without notice for at least four (4) times may be ejected from the board after written notice.
3. The board resolved that six (6) of ten (10) members of the Board of the Wikimedia Nigeria Foundation present in a board meeting shall form a quorum.
